1. Introduction and Purpose
This Acceptable Use Policy applies to all users and prospective users of the Platform and establishes the rules governing the acceptable use of the Platform and the services made available through it. This Policy forms an integral part of the Terms & Conditions and sets out the standards used by the Company to determine whether the use of the Platform and its services is lawful, appropriate and consistent with their intended purpose.
The Platform is operated by the Company as a managed environment through which Clients may request marketing, branding, creative, content and related professional services performed by Independent Service Performers. The Company administers the Platform, facilitates project management and applies reasonable operational, quality assurance and compliance measures to support the proper delivery of services. Independent Service Performers provide services under separate contractual arrangements with the Company and do not contract directly with Clients through the Platform.
The purpose of this Policy is to promote the lawful, responsible and professional use of the Platform while protecting the Company, Independent Service Performers, users, payment service providers and other business partners from legal, regulatory, operational, financial and reputational risks. The Company applies proportionate operational and contractual controls designed to reduce the risk of misuse of the Platform, including the creation, distribution or use of unlawful, deceptive, infringing or otherwise prohibited content.
This Policy describes the categories of prohibited activities, the principles applied by the Company when assessing the intended use of the Platform and its services, and the circumstances in which the Company may refuse, restrict, suspend or terminate access to the Platform or decline to provide services where such use is inconsistent with this Policy, the Terms & Conditions or applicable law.
2. Definitions
For the purposes of this Acceptable Use Policy, the following terms shall have the meanings set out below.
"Company" means GENVISTA LTD, a company incorporated in the United Kingdom, acting as the operator of the Platform and the provider of the services made available through it.
"Platform" means the online platform operated by the Company through the Website for requesting, managing and delivering marketing, branding, creative, content and related professional services in accordance with the Terms & Conditions.
"User" means any individual or legal entity that accesses or uses the Platform, creates an account, submits a project request or otherwise uses the services made available through the Platform.
"Services" means marketing, branding, creative, content and related professional services made available through the Platform and coordinated by the Company. Such services are performed by Independent Service Performers engaged by the Company under separate contractual arrangements.
"Independent Service Performer" means an independent contractor engaged by the Company on a non-exclusive basis to perform or assist in the provision of services through the Platform. Independent Service Performers are not employees, partners, agents or authorised representatives of the Company.
"Project" means any request, instruction or project submitted by a User through the Platform for the provision of services, together with all related specifications, materials, files and communications.
"Prohibited Activities" means any activity, use of the Platform, project, content or business activity that is restricted or prohibited under this Acceptable Use Policy.
"Applicable Laws" means the laws and regulations of England and Wales, together with any other applicable legal or regulatory requirements that the Company may reasonably consider when determining whether the requested services may be provided lawfully, responsibly and in accordance with this Acceptable Use Policy.
3. Acceptable Use
The Platform and the services made available through it may be used only for lawful, legitimate and good-faith purposes consistent with the intended operation of a professional marketing and creative services platform. Users may submit projects relating to branding, marketing, design, advertising, content creation and other creative services, provided that all requested activities comply with this Acceptable Use Policy, the Terms & Conditions and Applicable Laws.
Users may submit project briefs, specifications, brand assets, text, images, reference materials and other content reasonably required for the provision of the requested services. Users are responsible for ensuring that all submitted materials are accurate, lawful, authorised for use and do not infringe the intellectual property, privacy or other legal rights of any third party.
Completed deliverables may be used for legitimate commercial, promotional, editorial, educational or internal business purposes, provided that such use complies with Applicable Laws and does not falsely suggest any governmental approval, certification, endorsement, affiliation or other official status that does not exist.
Users must use the Platform only through its intended functionality, including creating and managing accounts, submitting project requests, communicating with the Company, making payments through authorised payment service providers, requesting revisions within the agreed project scope and receiving completed deliverables through the Platform. All information and communications submitted through the Platform must be accurate, complete and provided in good faith.
Users must not misuse the Platform or interfere with its operation, security or availability. Any attempt to gain unauthorised access to systems, manipulate technical processes, disrupt workflows, overload infrastructure, test security vulnerabilities, reverse engineer the Platform or otherwise compromise its integrity is strictly prohibited.
The Company may assess whether the intended or actual use of the Platform and the requested services is consistent with this Acceptable Use Policy and reserves the right to refuse, restrict or discontinue the provision of services where it reasonably determines that such use is inconsistent with this Policy, the Terms & Conditions or Applicable Laws.
4. Prohibited Technical and Behavioural Use
Users must not access or use the Platform in any manner that disrupts, interferes with or adversely affects its normal operation, security, stability or availability. Unauthorised automated access is strictly prohibited and includes, without limitation, the use of bots, scripts, crawlers, scrapers, artificial traffic generation tools or other automated technologies, unless expressly authorised in writing by the Company.
Users must not bypass, disable, interfere with or attempt to circumvent any security measures, authentication procedures, access controls, rate limits, payment mechanisms, monitoring systems or other technical safeguards implemented by the Company. Any attempt to obtain unauthorised access to user accounts, project information, uploaded materials, internal systems or supporting infrastructure is prohibited.
The Platform must not be used to upload, transmit, distribute or introduce malware, viruses, malicious code, corrupted files, embedded scripts or any other harmful components capable of damaging, disrupting, manipulating or impairing the operation of the Platform, third-party services or user devices. All materials submitted through the Platform must be free from malicious or concealed harmful elements.
Users must not misuse any functionality of the Platform, including account registration, project submission, file uploads, communications, payment-related processes or any other operational features. Prohibited conduct includes creating artificial or non-genuine projects, generating excessive or abnormal system activity, manipulating operational workflows, abusing revision procedures, or using the Platform for speculative, abusive or unauthorised purposes.
Users must not engage in phishing, spam distribution, impersonation, unauthorised data extraction, scraping, credential harvesting, abusive use of support channels or any other activity that compromises data security, infringes the rights of others or facilitates unlawful access to information or systems.
Any activity that creates technical, operational, legal, regulatory, financial or reputational risk for the Company, Independent Service Performers, payment service providers or other business partners is prohibited. The Company may monitor the use of the Platform for the purpose of enforcing this Acceptable Use Policy and may refuse, restrict, suspend or terminate access to the Platform, cancel projects or take any other measures reasonably necessary to protect the Platform, its users and its business operations, including cooperating with competent authorities where required or permitted by Applicable Laws.
5. Purpose Limitation and Responsible Content Use
The services made available through the Platform are intended exclusively for lawful commercial, branding, marketing, promotional, editorial and other legitimate business purposes. The Platform must not be used in connection with unlawful, deceptive, manipulative, fraudulent or unethical activities, or for any purpose that is inconsistent with the intended operation of a professional marketing and creative services platform.
Users are solely responsible for all project instructions, content, files, materials and information submitted through the Platform, including the accuracy, legality and substantiation of any claims, product descriptions, comparative statements, testimonials, endorsements, advertising messages or other commercial representations. Users are responsible for ensuring that they have all necessary rights, permissions and legal authority to use and submit such materials.
The Company provides services based on the information and instructions supplied by Users and does not independently verify the factual accuracy, regulatory status, licensing, commercial claims, advertising compliance or legal validity of user-submitted materials unless such verification has been expressly agreed in writing.
The Platform must not be used to create, request, distribute or promote content that is false, misleading, materially inaccurate or intended to deceive. Users must ensure that all content created through the Platform complies with Applicable Laws, including advertising, consumer protection, intellectual property, privacy and data protection requirements applicable in the jurisdictions where such content is published or used.
The Company reserves the right to refuse, suspend or discontinue the provision of services where it reasonably determines that the requested project, intended use or submitted materials are inconsistent with this Acceptable Use Policy, the Terms & Conditions, Applicable Laws or generally accepted standards of responsible commercial practice. Nothing in this Policy requires the Company to accept, continue or complete any project where such concerns arise.
6. Prohibited Activities
Without limiting the general principles set out in this Acceptable Use Policy, the Platform and the services made available through it must not be used for any unlawful, fraudulent, deceptive, harmful or otherwise prohibited purpose. The Company may refuse to provide services where it reasonably determines that a requested project or its intended use is inconsistent with Applicable Laws, this Policy or accepted standards of responsible commercial practice.
The Platform must not be used to create, request, distribute or promote content relating to controlled substances, unlawful pharmaceuticals, weapons, explosives or other regulated products or services where their promotion, sale or distribution is prohibited or restricted under Applicable Laws. The services must not be used in connection with human trafficking, forced or exploitative labour, sexual exploitation or any other form of human exploitation.
Users must not use the Platform in connection with fraud, phishing, impersonation, identity misuse, deceptive financial practices, unauthorised investment schemes, counterfeit products, intellectual property infringement, software piracy or any other unlawful or deceptive commercial activity.
The Platform must not be used to create, distribute or promote content that encourages or facilitates hate speech, discrimination, harassment, violence, terrorism, extremist organisations or other unlawful or harmful activities. The Company also prohibits any use of the Platform involving child exploitation, non-consensual explicit material or any abusive or illegal sexual content.
The services must not be used by or for the benefit of individuals, organisations or jurisdictions that are subject to applicable sanctions or trade restrictions, or in circumstances where the provision of services would be unlawful or prohibited under Applicable Laws. The Company may also refuse any project where it reasonably believes that the requested services could facilitate illegal, deceptive, abusive or otherwise harmful activity.
Any breach of this section may result in the refusal of services, cancellation of projects, suspension or termination of access to the Platform and any other measures the Company considers reasonably necessary to protect its business, users, Independent Service Performers and business partners, in accordance with this Acceptable Use Policy and the Terms & Conditions.
7. Assessment of Service Eligibility
The Company may apply proportionate, risk-based assessment measures where reasonably necessary to determine whether the requested services and their intended use are consistent with this Acceptable Use Policy, the Terms & Conditions and Applicable Laws. Such assessments are conducted solely for contractual, operational, compliance and risk management purposes and are not performed in every case.
As part of this assessment, the Company may request general information relating to the User's business activities, the intended purpose of a project or the proposed use of the requested services. Where appropriate, the Company may also consider publicly available information, including websites, publicly accessible business profiles and other publicly available sources, for the limited purpose of understanding the context in which the services are expected to be used.
Any assessment carried out under this section is performed solely to determine whether the requested services may be provided through the Platform. Such assessment does not constitute legal advice, certification, approval, endorsement, verification or ongoing monitoring of a User, its business activities or the content created through the Platform.
The purpose of this assessment is to reduce legal, regulatory, operational, financial and reputational risks and to help ensure that the Platform and its services are used in a lawful, responsible and commercially appropriate manner.
Where the information provided by a User is incomplete, inconsistent, inaccurate or reasonably considered misleading, or where the intended use of the Platform raises concerns under this Acceptable Use Policy, the Terms & Conditions or Applicable Laws, the Company may refuse a project, request additional information, suspend the provision of services or restrict access to the Platform where reasonably necessary.
8. Company Rights and Enforcement
The Company may refuse to provide services, decline a project, restrict access to the Platform or apply other appropriate measures where it reasonably determines that the intended use of the Platform, the requested services or the submitted materials are inconsistent with this Acceptable Use Policy, the Terms & Conditions, Applicable Laws or generally accepted standards of responsible commercial practice.
Where the Company becomes aware of prohibited activities, material misrepresentation, abusive conduct, inaccurate or misleading information, or any other circumstance that creates legal, regulatory, operational, financial or reputational risk, it may suspend or terminate access to the Platform, cancel ongoing projects, request additional information or take any other action reasonably necessary to protect the Platform, its users, Independent Service Performers and business partners. Such measures may also be applied where relevant information becomes available after access to the Platform has been granted or where a User fails to provide reasonable clarification requested for compliance or risk assessment purposes.
The Company is not required to disclose detailed internal assessment criteria or provide a detailed explanation of decisions taken under this Acceptable Use Policy where such disclosure is not required by Applicable Laws or could reasonably compromise internal procedures, security measures or risk management controls.
Where required or permitted by Applicable Laws, or where reasonably necessary to protect the Company's legal rights or comply with contractual, regulatory or compliance obligations, the Company may disclose relevant information to competent authorities, payment service providers or other authorised third parties. Where legally permitted, such disclosures may be made without prior notice to the affected User.
Any action taken under this Acceptable Use Policy shall be exercised in accordance with the Company's contractual rights and obligations under the Terms & Conditions. To the fullest extent permitted by Applicable Laws, the Company shall not be liable for any indirect, incidental or consequential losses, loss of profits, business interruption or reputational harm resulting from measures taken in good faith to enforce this Policy or protect the lawful operation of the Platform.
9. Recordkeeping and Internal Review
The Company may maintain internal records relating to the application and enforcement of this Acceptable Use Policy where reasonably necessary for contractual, operational, compliance, legal or risk management purposes. Such records may include information provided by Users, internal assessments, project-related information, correspondence, decisions made under this Policy and other information relevant to determining whether the use of the Platform complies with this Acceptable Use Policy.
Internal records are retained only for as long as reasonably necessary to support the legitimate business interests of the Company, comply with Applicable Laws, resolve disputes, prevent fraud or protect the Company's legal rights. Access to such records is restricted to authorised personnel and is protected by appropriate technical and organisational safeguards. The processing of any personal data contained within such records is governed by the Privacy Policy.
The Company may periodically review this Acceptable Use Policy and its internal implementation procedures to ensure that they remain appropriate for the nature of the Platform, applicable legal requirements and evolving operational or compliance risks. Such reviews are conducted solely for internal governance purposes and do not constitute regulatory approval, certification or external compliance verification.
Where required or permitted by Applicable Laws, or where reasonably necessary to fulfil contractual, legal, regulatory or compliance obligations, the Company may disclose relevant information to competent authorities, payment service providers or other authorised third parties in accordance with Applicable Laws and the Privacy Policy.
